Changes and surprises were reserved for the shareholders in yesterday's vote for the election of the new Board of Directors of Bank of Cyprus, in the context of the annual general meeting. Maksim Goldman and Dr. were left out of the board. Michael Heger, who failed to get re-elected.

It is worth mentioning that a significant percentage of negative votes were received from 2019 by Mr. Goldman, who in the end managed to be elected, while for a while he was also vice-chairman of the board. For the record, the negative votes from 2019 came mainly from American interests in the bank and are related to Mr. Goldman's relationship with the Russian group Renova, which has been affected by the American sanctions imposed on the strong man of the group, Viktor Vekselberg. From July 2007 to May 2018, Mr. Goldman was Director of Strategic Projects at the Renova Group.
Yesterday's announcement by the Bank of Cyprus also states that “the Board of Directors also notes that while Arne Berggren was re-elected with 98,825,604 votes in favor, representing 71.67% of the total number of valid votes cast, more than 20% of the votes cast were against his re-election. & nbsp; Under the UK (UK) Corporate Governance Code, the Board of Directors intends to contact the shareholders and provide information on the views to be received from the shareholders as appropriate. “
The board members who have been re-elected to the board of directors are: Efstratios-Georgios (Takis) Arapoglou, Lyn Grobler, Arne Berggren, Pola Chatzisotiriou, Panikos Nikolaou, Nikolaos Sofianos, Maria Filippou, Ioannis Konstantios> Ioannis Konstantis.
The number of members is 10 and as noted in the annual report “the board considers that 10-12 members are the right size and composition to provide the full range of skills and experience required on the board and staffing of committees” .
15 resolutions were presented to the shareholders yesterday, including the increase of the members of the board of directors. The annual fee for the chairman of the board was proposed and voted by the shareholders at € 220 thousand from € 180 thousand, the vice chairman at € 90 thousand from € 80 thousand and the senior independent director at € 80 thousand from € 70 thousand. For the non-executive members, annual fees of € 55 thousand were proposed and voted, from € 45 thousand. The annual general meeting was attended by 17 shareholders, in person or through a representative, representing 138,151,974 shares, ie 30.96% of the total issued share capital of the company.
